Acceptance of Terms

By contacting Propel Digital Studio for services, signing a project proposal, or making any payment, you agree to these Terms of Service in their entirety. These terms apply to all clients and individuals who engage with Propel Digital Studio in any capacity.

If you do not agree to any part of these terms, please do not engage our services. Your continued use of our services following any updates constitutes acceptance of the revised terms.

These terms apply to all projects delivered by Ariel Parizal, operating as Propel Digital Studio — regardless of project size, location, or engagement type.

Services Description

Propel Digital Studio provides professional web design, web development, WordPress implementation, SEO, brand identity design, and related digital marketing services. Specific scope, deliverables, pricing, and timelines are outlined in a project proposal or SOW agreed upon by both parties prior to commencement.

Services may include, but are not limited to:

  • Custom website design and development (WordPress + Elementor Pro)
  • Full Launch Package — strategy, design, build, SEO, and analytics setup
  • Digital Presence Setup — domain, hosting, email, and Google Business Profile
  • Brand Identity — logo, color system, typography, and brand voice guide
  • Website redesign, performance optimization, and conversion improvement
  • SEO audits, on-page optimization, and content strategy

Services outside the original proposal are treated as Change Requests under Section 3.

Project Scope & Change Requests

All projects are executed based on a defined scope in the agreed proposal or SOW. Any additions, modifications, or requests outside this scope constitute a Change Request subject to additional review, approval, and fees.

The Change Request process:

  • The client submits a written Change Request via email describing the desired change
  • Propel Digital Studio will assess and respond within 2 business days
  • A revised scope, timeline, and additional fee will be provided for approval
  • Work begins only after written approval and any required additional payment

Clients who request out-of-scope changes understand that timeline adjustments may result. Propel Digital Studio is not obligated to proceed with changes that significantly alter the original project direction.

Payment Terms

All projects follow this standard payment structure:

  • 50% non-refundable deposit required before any work commences
  • Remaining 50% balance due upon project completion, prior to final delivery or site launch
  • Invoices are payable within 14 days of issuance
  • Late payments are subject to a 2% monthly service charge after the 14-day window
  • Propel Digital Studio reserves the right to pause or suspend work on projects with invoices unpaid beyond 30 days

International clients in Singapore, Australia, and the United States are always invoiced in their local currencies (SGD, AUD, USD) at local market rates — never as PHP conversions.

Accepted payment methods include bank transfer, GCash, PayMaya, PayPal, and other methods confirmed in the project proposal.

Intellectual Property & Ownership

Upon receipt of full and final payment, the client receives full ownership of all custom deliverables created specifically for their project, including designs, code, and written content produced by Propel Digital Studio.

Third-party assets are not included in this transfer and remain subject to their original licenses. This includes:

  • WordPress core, Elementor Pro, and all premium plugins
  • Licensed stock photography, illustrations, and icon libraries
  • Premium fonts and typefaces with commercial restrictions
  • Any third-party software, APIs, or SaaS tools used in the build

Propel Digital Studio retains the right to display completed work in its portfolio and marketing materials. Confidentiality must be requested in writing before project completion. Prior to full payment, all deliverables remain the intellectual property of Propel Digital Studio.

Client Responsibilities

To ensure timely and successful project delivery, clients agree to:

  • Provide required content — text, images, branding assets, login credentials — within 5 business days of request
  • Designate a single primary point of contact for all communication and approvals
  • Submit consolidated feedback within 5 business days of each deliverable submission
  • Ensure all client-supplied content is legally owned or properly licensed
  • Respond to questions and approval requests promptly to maintain momentum

Delays caused by the client’s failure to provide materials, access, or timely feedback will proportionally extend the project timeline — without adjustment to the agreed fee.

Revisions Policy

Each project includes 2 rounds of revisions as standard, unless otherwise specified in the proposal. These are included in the quoted project price.

A revision round is defined as:

  • One consolidated set of changes submitted in a single communication
  • Changes must be relevant to the current project stage
  • A second batch of changes to an already-revised element counts as a new revision round

Additional revisions beyond the included rounds are billed at:

Philippine clients: ₱1,500 / hour  ·  International clients: $35 USD / hour

Minor text corrections and small fixes during the active build phase are handled at no charge and are not counted as revision rounds.

Timeline & Delivery

Project timelines are estimated and specified in each proposal. The timeline officially begins when both of the following conditions are met:

  1. The 50% non-refundable deposit has been received in full
  2. All required client materials have been delivered

Typical delivery timelines:

  • Landing page: 1–2 weeks
  • Business website (4–6 pages): 3–4 weeks
  • Full Launch Package: 4–6 weeks
  • E-commerce or complex build: 6–10 weeks

These are estimates, not guarantees. Actual timelines depend on complexity, content readiness, and feedback turnaround. Any expected delays will be communicated proactively.

Confidentiality

Both parties agree to maintain the confidentiality of all proprietary, sensitive, or non-public business information shared during the engagement — including strategies, financial data, client lists, and materials marked confidential.

Propel Digital Studio agrees to:

  • Not disclose or share client business information to any third party without written consent
  • Use client information solely for delivering the agreed project
  • Store shared credentials securely and delete them upon project completion if requested in writing

This obligation survives termination of the engagement and remains in effect indefinitely, except where required by law or court order.

Limitation of Liability

Propel Digital Studio’s total liability for any claims arising from services rendered shall not exceed the total fees paid by the client for the specific project in question.

Propel Digital Studio is not liable for:

  • Indirect, incidental, consequential, or punitive damages of any kind
  • Loss of revenue, profit, data, or business opportunities from use or unavailability of the website
  • Platform changes to WordPress, plugins, or hosting that affect functionality after delivery
  • Security incidents caused by client-side password misuse or failure to maintain software updates
  • Issues arising from client-supplied content including copyright violations or regulatory non-compliance
  • Hosting downtime or data loss caused by the client’s chosen hosting provider

All services are built to current best practices. Websites require ongoing maintenance to remain secure — maintenance retainers are available and strongly recommended.

Termination

Either party may terminate the engagement with 7 days written notice via email. Upon termination:

  • Work completed to date will be invoiced at a pro-rated rate based on the agreed total project fee
  • The initial 50% deposit is non-refundable under any circumstances
  • All client-owned materials, credentials, and assets will be returned within 5 business days
  • Propel Digital Studio retains ownership of all deliverables until full payment for completed work is received
  • Propel Digital Studio may terminate immediately for abusive, harassing, or demonstrably bad-faith conduct

Upon full settlement of outstanding invoices, all completed deliverables will be transferred to the client in their available formats.

Governing Law

These Terms of Service are governed by the laws of the Republic of the Philippines. Disputes follow this resolution process:

  1. Good-faith negotiation — Direct resolution within 30 days of written notification
  2. Mediation — Formal mediation through a mutually agreed mediator if unresolved
  3. Litigation — Court of competent jurisdiction in the Province of Pangasinan, Republic of the Philippines

For international clients, nothing in these terms limits rights available to you under the consumer protection laws of your own jurisdiction where those rights cannot be contractually waived.
